GTCO Names Oyinlola, Agbaje, Chairman, GCEO, Olusanya, GTBank MD

The board of newly established Guaranty Trust Holding Company Plc, at the midweek, said it has completed its corporate restructuring, away from the erstwhile Guaranty Trust Bank, with GTCO as an operating company, with the constitution of a new board.

According to a statement by its company secretary, Ehi Obebeduo, to the Nigerian Exchange Limited, the board of GTCO will be chaired by Sola Oyinlola, the first Nigerian Managing Director of Schlumberger Group in Nigeria, who rose to become chairman Africa of the group from 2011 to 2016. Segun Agbaje, who was Group Chief Executive Officer of GTBank from 2011 until the reorganization, assumes the same position in the Holdco.

Other appointments approved by the Central Bank of Nigeria, include those of Adebanji Adeniyi, a chartered accountant, as executive director; Mrs. Cathy Echeozo, as a non-executive director, while Suleiman Barau, a former Deputy Governor of the Central Bank of Nigeria (CBN), and Mrs. Helen Bouygues, will serve as independent non-executive directors of the group.

The group also announced the reconstitution of the board of GTBank, its banking subsidiary, chaired by Ibrahim Hassan; Olabode Agusto, as Non-Executive Director; while Ms. Imoni Akpofure and Mrs. Victoria Adefala, are independent non-executive directors. The executive management team of the bank is led by Mrs. Miriam Olusanya, managing director; Jide Okuntola, Deputy MD; and Haruna Musa, executive director.

Mrs. Echeozo was DMD of the GTBank between 2011 and 2017, when she was appointed second vice president of the Nigerian Stock Exchange and independent non-executive director at Stanbic IBTC Pension Managers Limited until 2020. She is a fellow of the Institute of Chartered Accountants of Nigeria (ICAN) and was recently appointed chairman of NGX Regulations Limited, a subsidiary of the Nigerian Exchange Group, among others.

Hassan is the founder/executive chairman of Summit Energy Ltd, and chairman, Axis Petroleum Ltd; Pathway Exploration and Production Ltd and Rosemount Nigeria Ltd, and joined the board of GTBank in 2010.

On her part, Mrs. Olusanya, a graduate of Pharmacy, joined GTBank as an executive trainee, rising through the ranks until her appointment as Executive Director in 2018, a position from which was appointed as MD.

Ms. Akpofure was Director, Western Europe of the International Finance Corporation (IFC) until 2013, and from 2016 to 2020, she was a senior associate at KINA Advisory Ltd., a socio-economic advisory firm. She joined the board of GTBank in 2015.

The completion of the corporate re-organisation, the statement quoted Agbaje as saying, “will allow us take advantage of new business opportunities in the emerging competitive landscape and strengthen our earnings base.

“We are very excited to get started on the next phase of our incredible journey to driving Africa’s growth by making end-to-end financial services easily accessible to every African and African businesses by leveraging technology and strategic partnerships,” he added.

As a bank, he continued, “we were always looking to meet every customer need; with our corporate reorganization, we will be able to do mjore to help our customers thrive in this new world of digital technologies and unprecedented possibilities.”
